2. Buyers

a. Overview

The iazo Platforms makes it possible for you to buy a wide variety of Featured Content from Sellers all around the world, including but not limited to: (i) articles; (ii) audios; (iii) documents; (iv) ebooks; (v) galleries; (vi) graphics; (vii) photos; and (viii) videos. Featured Content may be purchased in the form of downloads or access (streams/views), or alternatively may be available free of charge (“Free Content”). All Featured Content is sold on Post pages which indicate whether the Featured Content is available for download or access.

b. Buyer Decision

Membership in iazo is free and provides you with the ability to buy a wide variety of Featured Content. You acknowledge and agree that buying on iazo is your personal decision and is a secondary step beyond registering as a Member.

c. Definition of Buyer

All Members of iazo who make a purchase of any kind on iazo are Buyers (individually, a “Buyer” and collectively, “Buyers”). Buying includes but is not limited to the following: (i) buying a Content License for any Content Type; (ii) buying a Monthly Access subscription; (iii) buying a Yearly Access subscription; and (iv) buying On Demand Access.

3. Content License

a. Buyer Agreement to Content License

The Buyer acknowledges and agrees to the terms and conditions of the Content License. The Members understand and acknowledge that the Content License grants certain limited rights to the Buyer of the Content License for the respective Licensed Content.

b. No Transfer of Ownership

The Members understand and acknowledge that the purchase of a Content License on iazo does not grant the Buyer any ownership of the Licensed Content, nor does it grant any intellectual property rights to the Licensed Content, including but not limited to copyright and trademark. The Buyer further understands and acknowledges that the Seller of the Licensed Content retains all ownership and rights to the Licensed Content that they author, create, publish, make available, and/or sell on the Platform.

c. Free Content and Content License

Featured Content may be available free of charge on iazo (“Free Content”) subject to the discretion of the Seller. All Free Content is subject to the terms and conditions of the Content License. The Buyer acknowledges and agrees to the terms and conditions of the Content License when downloading, accessing, viewing, and/or streaming Free Content.

4. Grids, Cards, and Display Settings

a. Grids

When browsing iazo you’re presented with a series of Grids (a “Grid” or “Post Grid”) that make it easy to view large numbers of Posts and Featured Content quickly. There are many types of Grids depending upon the section of iazo you’re viewing. For example, the Explore Grid displays the latest Posts on the Platform, the Top Sellers Grid displays top selling Posts on the Platform, and the Feed Grid displays Posts from your followed Topics and Members.

b. Cards

Each Post in a Grid is represented by a Card (a “Card” or “Post Card”). All Posts on iazo are initially presented as Cards to make browsing large numbers of Posts fast and efficient. When hovering/tapping on a Card it will open, revealing additional information, options, and buttons for that specific Post. If you click/tap on an opened Card it will then navigate to the respective Post page.

c. Display Settings

To help you customize iazo to your viewing preferences we have provided convenient Display Settings (the “Display Settings”). You can change your Display Settings at any time by selecting Account > Display from the top-right menu. When you change the Display Settings your selections are saved to your account and will remain the same until changed again. The Display Settings include: (i) the Layout Mode; and (ii) the Color Mode.

d. Layout Modes

All Grids can be displayed in two different Layout Modes (the “Layout Mode”) depending upon how you want to browse the Cards in that Grid. The Layout Mode can be changed by pressing the buttons in the top-left corner of any Grid (the “Layout Mode Buttons”) or from the Display Settings. When you select a Layout Mode it will be saved to your account and will remain the same until changed again. The two Layout Modes are: (i) Grid Mode; and (ii) Stream Mode.

Grid Mode:

When selecting Grid Mode (“Grid Mode”) the Cards will be displayed in a series of rows and columns that are responsive to your device screen size. The larger your device screen size is, the more columns will be displayed in the Grid. Selecting Grid Mode is best when you want to view as many Cards as possible simultaneously. Using Grid Mode is very efficient when running searches and comparing lots of Featured Content.

Stream Mode:

When selecting Stream Mode (“Stream Mode”) the Cards will be displayed in a single column or feed that is similar to many social media platforms. Selecting Stream Mode is best when you want to view only one Card at a time in a linear format. Using Stream Mode is helpful to focus on each Card’s Featured Content without distraction. Please note that Stream Mode is the only available Layout Mode when viewing iazo on a mobile device.

e. Color Modes

All Grids can be displayed in two different Color Modes (the “Color Mode”) depending upon your personal color preferences. The Color Mode can be changed by pressing the buttons in the top-right corner of any Grid (the “Color Mode Buttons”) or from the Display Settings. When you select a Color Mode it will be saved to your account and will remain the same until changed again. The two Color Modes are: (i) Day Mode; and (ii) Night Mode.

Day Mode:

When selecting Day Mode (“Day Mode”) the Platform, including all Grids and Cards, will be displayed with a predominantly light theme. We recommend using Day Mode to accurately gauge and compare the colors of Featured Content. Day Mode is also generally easier on the eyes when reading lots of text content.

Night Mode:

When selecting Night Mode (“Night Mode”) the Platform, including all Grids and Cards, will be displayed with a predominantly dark theme. We recommend using Night Mode to avoid viewing extremely bright content in late hours of the day. Night Mode also provides a higher contrast viewing experience in general.

5. Content, File, and Access Types

a. Content Types

All Featured Content on iazo belongs to a Content Type. The Content Types include, but are not limited to the following: (i) articles; (ii) audios; (iii) documents; (iv) ebooks; (v) galleries; (vi) graphics; (vii) photos; and (viii) videos. The Sellers choose a Content Type when they publish their Featured Content. The Content Type chosen determines how the Featured Content can be sold (ex. download or stream/view).

b. Content Type Indicator

When browsing iazo you can always identify the Content Type of the Featured Content by looking for the Content Type Indicator in the top-right corner of the Post’s Card. This indicator displays an icon representing the specific Content Type and also shows the Content Type name when hovering/tapping on it.

c. File Types of Featured Content

Each Content Type on iazo may include a wide variety of File Types. For example, the audio Content Type can include mp3, m4a, wav, and aac files. The ebook Content Type can include epub and pdf files. The document Content Type can include pdf, doc, docx, xls, xlsx, ppt, pptx, csv, and txt files. It is the responsibility of the Seller to properly identify the File Type(s) of the Featured Content in the description of their Post. We make no representations or warranties whatsoever with regard to the File Type(s) of any Featured Content.

d. Access Types

There are two primary methods of accessing Featured Content on iazo: (i) via downloading (the “Download Access Type”); and (ii) via streaming/viewing (the “Stream/View Access Type”). The Sellers choose an Access Type when they publish their Featured Content. Some Content Types may be published for either Access Type, and other Content Types may be limited to a single Access Type. For example, the audio Content Type can be published for either Download or Stream/View, whereas the photo Content Type can only be published for Download.

e. Filtering Posts by Access Type and Content Type

To help all Members browse iazo and easily find content, we have provided a robust filtering feature at the top of every page. Simply hover/tap on the Filter By button and you will see options for filtering by the Access Type and Content Type. The Access Type filter is in the top section and has options for All, Downloads, and Streams. The Content Type filter is in the bottom section and includes options for all possible Content Types.

f. Identifying How Featured Content is Sold on Post Pages

Every Post page on iazo has a section at the top of the page that identifies how the Featured Content is being sold. This section identifies the Seller’s username and if the Featured Content is available for download, access (stream/view), or for free (“Free Content”). The buttons in this section also help to identify how the Featured Content is being sold. For example, a photo Featured Content being sold for download would have a button that says Buy Photo along with its Price. An audio Featured Content being sold for access (stream/view) would have a button that says Buy Access, and Access Audio after an Access Plan has been purchased.

6. Downloads

a. Downloading Purchased Featured Content

All Featured Content that you have purchased for download is made available on your Downloads page. The Downloads page aggregates all of your purchased Featured Content in one convenient location. You may download your purchased Featured Content at any time by visiting the Downloads page and clicking/tapping on a specific Post and then pressing the Download button at the top of the Post page.

b. Purchased Content Indicator

In addition to the Downloads page you can also see when you have purchased the Featured Content of a specific Post by looking for the Purchased Content Indicator in the top-right corner of the Post’s Card. This indicator displays a cart icon and says “You have purchased this content.”

c. Download Information on Purchase Confirmation Page

In addition to the Downloads page you can also see all the download information for a specific order on its Purchase Confirmation page. To do this first visit your Purchase History page and then press the View Purchase button for a specific order. The download information will be in the bottom section of the Purchase Confirmation page.

7. Streams/Views

a. Streaming/Viewing Accessed Featured Content

All Featured Content that you have accessed for streaming/viewing is made available on your Streams/Views page. The Streams/Views page aggregates all of your accessed Featured Content in one convenient location. You may stream/view your accessed Featured Content at any time by visiting the Streams/Views page and clicking/tapping on a specific Post and then pressing the Access button at the top of the Post page.

b. Post Access Indicator

In addition to the Streams/Views page you can also see when you have accessed the Featured Content of a specific Post by looking for the Post Access Indicator in the top-right corner of the Post’s Card. This indicator displays a key icon and says “You have accessed this post.”

c. Access History Section of Access Dashboard Page

In addition to the Streams/Views page you can also see all of the Featured Content that you have accessed for specific Posts in the Access History section of the Access Dashboard page. This section displays all of the Posts that you have accessed and includes links to those Posts along with other access related information.

8. Free Content

a. Free Content on iazo

One of the many benefits of iazo is the ability to download, stream, and view a wide variety of content completely free of charge (“Free Content”). Free Content is available when the Seller decides to publish content free of charge. Sellers may choose to offer Free Content for a variety of reasons including helping to gain exposure for their works. Free Content can include both content for access (streaming/viewing) and content for download.

b. Free Content Indicator

All Free Content can be easily identified by looking for the Free Content Indicator in the top-right corner of a Post’s Card. This indicator displays an open hands with diamond icon and says “This content is free for all.”

c. Free Content and Content License

All Free Content is subject to the terms and conditions of the Content License. You acknowledge and agree to the terms and conditions of the Content License when downloading, accessing, viewing, and/or streaming Free Content.

d. Free Content Not Saved to Downloads and Streams/Views Pages

When downloading or streaming/viewing Free Content please note that it will not be saved to either your Downloads or Streams/Views pages. Your Downloads and Streams/Views pages will only display the Featured Content that you have directly purchased or accessed using an Access Plan.

9. Access Plans

a. Access Plan Types

In order to access Featured Content that is sold for streams/views you must first purchase an Access Plan. Access Plans are monthly subscriptions that provide you with access to a certain number of Posts each respective month. Instead of having to purchase access to individual Posts you are able to conveniently access large numbers of Posts under a single purchase.

There are four types of Access Plans on iazo, including: (i) Pioneer Access; (ii) Explorer Access; (iii) Patron Access; and (iv) Champion Access. We have carefully priced these plans to provide the greatest value possible for Buyers while also ensuring that Sellers receive a fair amount per access. Each higher level plan provides a greater discount for Buyers without affecting the amount that Sellers receive.

You may purchase an Access Plan from the Buy Access page.

b. Accessing Posts

To access Posts using your Access Plan simply visit the Post page of any access Post and click/tap the access button located at the top of page, or alternatively in the Post Card on the page. When you access a Post using an Access Plan a single Post access will be deducted from your Access Balance. At that point you have permanent access to that Post and can stream/view its Featured Content as often as you like.

c. Viewing Your Accessed Posts

The best place to view all of your accessed Posts is on the Streams/Views page. All Posts that you access are saved to this page for you to stream/view at any time. You can also view a full record of all accessed Posts in the Access History section of your Access Dashboard. Additionally, when browsing iazo you can always tell which Posts you have previously accessed by looking for the Post Access Indicator in the top-right corner of each Post Card. This indicator displays a key icon and says “You have accessed this post.”

d. Your Access Dashboard

In order to help you keep track of and manage your Access Plans we have provided a user-friendly and comprehensive Access Dashboard page (the “Access Dashboard”). The Access Dashboard is organized into the following sections: (i) Access Plan; and (ii) Access History.

View your Access Dashboard at any time by selecting Purchases > Your Access from the top-right menu.

Access Plan:

The Access Plan section has two sub-sections: (i) Your Access Balance; and (ii) Your Access Plan.

Your Access Balance displays the total number of Posts you can currently access (the “Access Balance”). The Access Balance is automatically updated every time you access a Post and when your subscription renews at the end of each billing cycle. This sub-section makes it easy to know how many more Posts you can access at a glance.

Your Access Plan displays all of your purchased Access Plans. This sub-section provides information about each Access Plan purchase, including the plan type, billing cycle, renewal date, times billed, and subscription status. To view the original Purchase Confirmation press the View Purchase button for the respective Access Plan. To view all of the transactions associated with an Access Plan, including the original order and renewal orders, press the View Transactions button for the respective Access Plan. To update your Payment Method or cancel an Access Plan, press the Update Payment Method button or Cancel Subscription button on the Active status plan.

Access History:

The Access History section displays all of the individual Posts that you have accessed, including links to those Posts, the date of access, and the order ID and Purchase Confirmation for the order related to the Post access. Please note that this page is provided for accounting and tracking purposes and is not a substitute for your Streams/Views page.

e. Changing Your Access Plan

You may change your Access Plan at any time by simply purchasing another Access Plan. You may only have one (1) active Access Plan at a time on iazo. Therefore, if you change your Access Plan it will replace the current plan which will be automatically cancelled at the end of its current billing cycle.

In order to change your Access Plan visit the Buy Access page. Your current Access Plan will be labeled as the Active Subscription. Press the Switch To button on any of the other plans and complete the purchase process. Your new Access Plan will replace the old Access Plan automatically.

f. Updating Your Payment Method

You may update the Payment Method for your Access Plan at any time by visiting the Access Plan section of the Access Dashboard page. Look for the Your Access Plan sub-section which displays all of your purchased Access Plans. Find the plan that has an Active status and press the Update Payment Method button. On the next screen enter in a new Payment Method and then press the Update Payment Method button to make it active.

g. Viewing the Transactions of an Access Plan

You may view all of the transactions associated with any Access Plan by visiting the Access Plan section of the Access Dashboard page. Look for the Your Access Plan sub-section which displays all of your purchased Access Plans. Find the plan that you want to view the transactions for and press the View Transactions button. The next screen will display all of the transactions associated with that subscription, including the original order and renewal orders. You can click on the order ID of each individual transaction to view its Purchase Confirmation.

h. Cancelling Your Access Plan

You may cancel your Access Plan at any time by visiting the Access Plan section of the Access Dashboard page. Look for the Your Access Plan sub-section which displays all of your purchased Access Plans. Find the plan that has an Active status and press the Cancel Subscription button in order to cancel that plan. Please note that any unused Access Balance associated with the cancelled plan will remain available for use through the end of the current billing cycle.

i. Unused Access Balance on Active Access Plans

When your Access Plan renews each month your Access Balance is automatically replenished with the number of Posts included in your plan. Any unused Access Balance from the prior month will be removed from your current Access Balance at the end of the respective billing cycle. An unused Access Balance does not carry over or aggregate month to month. For example, if you purchased an Access Plan with 100 Posts, you must use all 100 Posts in each month’s billing cycle to take full advantage of your Access Balance. When the next billing cycle begins you would receive access to another 100 Posts, but any unused Access Balance from the previous billing cycle would be forfeited.

j. Unused Access Balance on Cancelled Access Plans

When an Access Plan has been cancelled, any unused Access Balance associated with that plan will remain available for use through the end of the current billing cycle. For example, if an Access Plan had an Access Balance of fifty (50) Posts when it was cancelled, those fifty (50) Posts would remain available for use through the end of the current billing cycle. This is particularly advantageous when changing your Access Plan as you will not lose your Access Balance on the old plan until its billing cycle completes, at which time the old plan would be automatically cancelled.

k. Free Access Period

As thanks for joining iazo we provide all new Members with thirty (30) days of free access (the “Free Access Period”). The Free Access Period allows you to stream/view any Post that would normally require an Access Plan in order to be accessed. During the Free Access Period there is a Free Access Indicator placed in the top-right corner of each access Post’s Card. This indicator has a key icon and counts down the remaining number free access days. After your Free Access Period has expired you will need to purchase an Access Plan in order to continue streaming/viewing access Posts on iazo. Additionally, if you purchase an Access Plan during the Free Access Period this will automatically forfeit the remaining days in your Free Access Period.

10. Access to Purchases

a. Loss of Access Due to Seller Actions

Your purchased and accessed Featured Content will generally remain available on your Downloads and Streams/Views pages permanently. However, you may lose access to your purchased and accessed Featured Content in the event the Seller takes any of the following actions to the Post containing the Featured Content: (i) deletes the Post; (ii) reverts the Post to a Draft Status; (iii) changes the media file(s) of the Featured Content; (iv) makes the Featured Content free of charge; and (v) changes the Access Type of the Featured Content from Download to Stream/View or vice-versa.

b. After Sale Post Locking Period

To help protect your access to purchased and accessed Featured Content, we place a lock on all Posts containing Featured Content which have recorded sales in the last thirty (30) days (the “After Sale Post Locking Period”). Sellers cannot take any of the actions listed above on a Post until thirty (30) days have elapsed since the last purchase or access of Featured Content occurred. This ensures that Buyers always have a reasonable amount of time to download, stream, or view their purchased and accessed Featured Content.

11. Purchase History, Invoices, and Receipts

a. Purchase History Page

All Buyers can view a complete history of their purchases on the Purchase History page (the “Purchase History”). The Purchase History page compiles all past orders, including both content and access purchases. This page contains all the information for each order including the order ID, Purchase Item, Purchase Date, Purchase Price, and order status. There are also buttons to view the original Purchase Confirmation and Order Invoice.

b. Purchase Confirmations

All successful orders on iazo are provided with a Purchase Confirmation (the “Purchase Confirmation”). When placing an order directly on iazo you are immediately presented with a Purchase Confirmation at the completion of your order. You are also provided with a Purchase Confirmation when a renewal order is automatically processed on your behalf (such as for Access Plans). You may view all of your past Purchase Confirmations by clicking the View Purchase button for each order on the Purchase History page.

The Purchase Confirmation page contains two main sections. The first section displays all of your Payment details such as the order ID, order status, order date, Payment Method, order subtotal, order total, and a link to the order invoice. The second section is specific to content purchases or access purchases. If you made a content purchase this section displays the license type, download page, and various file information. If you made an access purchase this section displays the plan type, billing cycle, renewal date, times billed, and subscription status.

c. Order Invoices

All successful orders on iazo are provided with an Order Invoice (the “Order Invoice”). The Order Invoice can be viewed by clicking the View Invoice link in the respective Purchase Confirmation or by clicking the View Invoice button of the respective order on the Purchase History page.

Once on the update page enter in all of your information and then press the Save Details & Generate Invoice button. This will return you to your Order Invoice which will now contain your custom information.

If you would like to save a copy of your Order Invoice press the Download PDF button at the bottom of the Order Invoice to generate a custom PDF file on demand. There is also a button to print the Order Invoice if needed.

e. Email Receipts

All successful orders on iazo are provided with an Email Receipt (the “Email Receipt”). The Email Receipt is sent to the email address associated with your iazo account. There are two types of Email Receipts: Purchase Receipts and Renewal Receipts. A Purchase Receipt is sent when you have placed an order directly on iazo. This may include orders for content (downloads) or orders for access (streams/views). A Renewal Receipt is sent when a subscription Access Plan automatically renews each billing cycle.

The Email Receipt contains summary information for the order including the purchaser username, order ID, order item, order date, Payment Method, order subtotal, order total, and links to both the Purchase Confirmation and Order Invoice.

12. Purchase Currency

a. Purchase Currency

When making purchases on iazo you may choose from over 100 purchase currencies (the “Purchase Currency”). This is highly advantageous for Buyers as you can purchase in the native currency of your country, thereby avoiding any currency conversion fees. For this reason we highly recommend that you only choose the native currency of your country to make purchases on iazo. You may change your Purchase Currency at any time by visiting the Purchase Currency section of your account settings.

b. Automatic Selection of Purchase Currency

When you register an account on iazo we will automatically choose your Purchase Currency based on your current location (the “Automatic Purchase Currency Selection”). This automatic selection attempts to match your Purchase Currency to the native currency of your country. Since the detection process relies upon your current location we cannot guarantee that the Purchase Currency will be your preferred currency. To ensure the proper Purchase Currency is used please select your own Purchase Currency in your account settings.

c. Currency Conversion Fees

There will typically be no currency conversion fees when your Purchase Currency matches the native currency of your country. We do not however make any representations or warranties that you will not be charged any currency conversion fees. You may be charged currency conversion fees by your bank or financial institution when making purchases on iazo.

13. Payments and Taxes

a. Basic Purchase Definitions

The following are basic definitions pertaining to purchases made on iazo: (i) any product, service, merchandise, content, item, access, download, stream, Access Plan, or Content License purchased on the Platform is a Purchase Item (a “Purchase Item”); (ii) the Price as specified on the Platform, in the respective Purchase Currency, when making a purchase is the Purchase Price (the “Purchase Price” or “Price”); (iii) the date on which the Purchase Item is purchased is the Purchase Date (the “Purchase Date”); (iv) any Payment paid to iazo for a Purchase Item is a Purchase Payment (a “Purchase Payment” or “Payment”); and (v) the method of Payment used by the Buyer to pay iazo is the Payment Method (the “Payment Method”).

c. Refund Requests

You may make a request for a refund of a Purchase Item (a “Refund Request”) pursuant to the following conditions: (i) all Refund Requests must be made in writing and emailed to Support@iazo.com or otherwise submitted directly through the Platform; (ii) all Refund Requests may be approved or denied at our sole discretion; (iii) the amount of the refund (the “Refund Amount”) is determined at our sole discretion, and may be equal to or less than the Purchase Price; (iv) the Payment Method of the refund (the “Refund Payment Method”) is determined at our sole discretion, and may use the original Payment Method of the Buyer or an alternative Payment Method when appropriate; (v) the date of the refund (the “Refund Date”) is determined at our sole discretion, but shall be within a reasonable timeframe of the Refund Request; and (vi) if the Refund Request is for the purchase of a Content License, and if we approve the Refund Request, the Grant of License for the Licensed Content in the Content License will be rescinded as if never granted.

d. Tax and Interest Payments

You are responsible for paying, in a timely manner, any and all applicable sales taxes, use taxes, value added taxes, property taxes, customs, duties, and any related interest or penalties imposed by any jurisdiction (the “Tax and Interest Payments”) as a result of the purchase of a Purchase Item and/or any Use of a Purchase Item.

e. No Set-Off, Deductions, or Withholdings

All Purchase Payments must pay the full Purchase Price (a “Full Payment”) at the time of the purchase, in a Purchase Currency permitted by the Platform, without any set-off, deduction, or withholding of any kind, including but not limited to, any tax withholdings or currency conversion charges.

In the event that you are required by law (ex. under a tax law) to set-off, deduct, or withhold any funds from a Purchase Payment made to iazo, the Purchase Price of the respective Purchase Item will be increased by the amount necessary to cause the net amount actually received by iazo to equal the Purchase Price.

14. Financial Data and Security

a. iazo Platform and Ecommerce System Powered by Stripe

The iazo Platform and ecommerce system is powered by Stripe, one of the world’s largest, most reputable, and secure payment processors. When you make a purchase on iazo, all of your private financial information is stored only at Stripe. This fully ensures the security of your financial information and limits its exposure. For further information about Stripe and their security practices please visit https://stripe.com.

b. Stripe PCI Certification

A PCI-certified auditor has audited Stripe. They are a certified PCI Service Provider Level 1. This is the most stringent level of certification available in the payments industry. To accomplish this, Stripe uses the best-in-class security tools and practices to maintain a high level of security.

c. Stripe HTTPS and HSTS for Secure Connections

Stripe forces HTTPS for all services using TLS (SSL), including their public website and the Stripe Dashboard to ensure secure connections. Stripe.js is served only over TLS. Stripe’s official libraries connect to Stripe’s servers over TLS and verify TLS certificates on each connection. Stripe regularly audits the details of their implementation, including the certificates they serve, the certificate authorities they use, and the ciphers they support. Stripe uses HSTS to ensure that browsers interact with Stripe only over HTTPS. Stripe is also on the HSTS preloaded lists for both Google Chrome and Mozilla Firefox.

d. Stripe Sensitive Data and Communication Encryption

All card numbers are encrypted at rest with AES-256. Decryption keys are stored on separate machines. None of Stripe’s internal servers and daemons can obtain plain text card numbers but can request that cards are sent to a service provider on a static allow-list. Stripe’s infrastructure for storing, decrypting, and transmitting card numbers runs in a separate hosting environment, and doesn’t share any credentials with Stripe’s primary services including their API and website.
